The following terms and conditions govern your use of the Cutting Sounds Website (www.cuttingsounds.com) here-in-after referred to as "Cutting Sounds". Please read these terms of use carefully before using the site. If you do not agree to these terms, please do not use the website.
The Cutting Sounds Website:
Cutting Sounds provide an on-line educational resource enabling music producers to upload video-based tutorial sessions for other site users to learn from. Cutting Sounds is an interactive community where site users can view, rate and share free videos and comments related to tips, tricks, techniques and styles of composition used in music production projects.
The Cutting Sounds website also enables users to share project files and samples to encourage collaboration on music production projects as well as the provision of an on-line store within which users can purchase related hardware and software. Our Member Profiles also enable users to upload audio files, add images, add and manage friends as well as communicate with other producers.
The Terms and Conditions here-on-in apply to all information, on-line communications, services, video, audio files, text, images, links and other material that is available via Cutting Sounds which becomes our "Service" or "Content".
The Use of Cutting Sounds:
This Terms of Use Agreement ("Agreement") secures legally binding terms for your use of Cutting Sounds. By using services provided by Cutting Sounds you agree to be bound by this Agreement, whether you are a "Visitor" (which means that you simply browse the Cutting Sounds Website, including through a mobile device or otherwise use the Cutting Sounds Services without being registered) or you are a "Member" (which means that you have registered with Cutting Sounds or have used our Store to purchase products or services available from time to time from the Cutting Sounds website).
Our Terms of Service also apply to contributors of content, services or information which is made available on Cutting Sounds from time to time.
Membership:
This Agreement sets out the legally binding terms for your membership and may be modified by Cutting Sounds from time to time. Any modifications shall be effective and deemed to be up-to-date whenever published on the Cutting Sounds website. You may apply to receive a copy of this Agreement by emailing us at: support@cuttingsounds.com, Subject: "Please forward to me your Terms of Service Agreement".
When you register to become a Member of Cutting Sounds you will also be asked to choose a username and a password for your Member profile. You are entirely responsible for maintaining the confidentiality of your password. You agree not to use the Member profile, username, or password of another Member at any time. You agree to notify us immediately if you suspect any unauthorised use of your Member profile or access to your password.
Your Membership Profile:
Any Content that is used within your Membership Profile including though not limited to photographs, videos, audio files, written text, samples or project files posted by you in your Member profile may not contain nudity, violence, sexually explicit, or offensive subject material.
Content you upload to Cutting Sounds:
You are solely responsible for the Content that you upload to or post through Cutting Sounds and any material, information or Content that you transmit to other users, whether Members or Non-Members.
By uploading or posting Content to any Services provided by Cutting Sounds you automatically grant and warrant that you have the right to grant to Cutting Sounds an irrevocable, perpetual, non-exclusive, royalty-free and fully paid worldwide license to reproduce, distribute, publicly display, perform and use such Content (including by means of a digital audio and visual transmission) within our Services.
In addition, you represent and warrant that you have the right to post the Content and you will not post any illegal or prohibited Content and will not infringe, misappropriate, violate or contravene any third party rights (including, without limitation, any intellectual property rights).
Prohibited Content:
The following is a partial list of the kind of Content that is illegal or prohibited on the Cutting Sounds website. Cutting Sounds reserves the right (but is not obligated) to investigate and to take appropriate legal action in its sole discretion against anyone who violates this provision.
(a) is patently offensive to the online community, such as Content that promotes racism, bigotry, hatred or physical harm of any kind against any group or individual;
(b) harasses or advocates harassment of another person;
(c) promotes information that you know is false, misleading or that promotes illegal activities or conduct that is illegal, abusive, threatening, obscene, defamatory or libelous;
(d) promotes an illegal and/or unauthorized ("pirated") copy of another person's copyrighted work (whether marked as such, or not). ,
(e) displays pornographic or sexually explicit material of any kind and in any form;
Member Disputes:
Your interactions with other Members in connection with the Services or with advertisers, including, without limitation, payment and delivery of goods or services, and any other terms, conditions, warranties or representations associated with such dealings, are solely between you and the other Member(s) or the advertiser or supplier of goods, products or services. You agree that Cutting Sounds will not be responsible for any loss or damage incurred as the result of any such dealings with any other Member, advertiser or supplier o goods. If there is a dispute between you and any third party Cutting Sounds is under no obligation to become involved.
Third Party Websites:
Cutting Sounds may contain links to third party websites. Cutting Sounds has no control over and holds no responsibility for the content, security, privacy policy, services or terms and conditions of such third party websites.
Using Cutting Sounds for Commercial benefit or purposes:
Cutting Sounds may also be used for commercial purposes or benefit however Cutting Sounds reserves the right to remove commercial content in its sole discretion. Illegal and/or unauthorised use of Cutting Sounds, including collecting usernames, user id numbers and/or email addresses of Members by electronic or other means for the purpose of sending unsolicited email or unauthorised means of contact is strictly prohibited. Commercial advertisements, affiliate links, and other forms of unauthorised solicitation may be removed from Member profiles without notice or explanation and may result in termination of Membership privileges. Cutting Sounds reserves the right to take appropriate legal action for any illegal or unauthorised use of Cutting Sounds

Indemnity and Warranty Disclaimer:
You agree that by using Cutting Sounds shall be at your sole risk.
You agree to the fullest extent that you waive Cutting Sounds, it’s Directors, Staff and Appointed Agents against any claims, damages, obligations, losses, liabilities, costs, debt, expenses (including legal fees) arising from (1) any liable action which may be taken in relation to any Content displayed, tramsmitted or used within any of the Services provided by Cutting Sounds including warranties or representations about the acuracy of Content, errors, or mistakes within such Content; (2) your use of and/or access to the Cutting Sounds website or the services provided or promoted by it (3) your violation of any third party right including without limitation any use of copyright material or interlectual property used within the Content you or other Users upload to the Cutting Sounds website including though not limited to the use of logos; images, video, audio, written text or project files which is either owned by or licensed to any third party company or individual. By uploading or posting Content to any Services provided by Cutting Sounds you automatically grant and warrant that you have the right to grant to Cutting Sounds an irrevocable, perpetual, non-exclusive, royalty-free and fully paid worldwide license to reproduce, distribute, publicly display, perform and use such Content within our Services and Cutting Sounds holds no responsibility for the use or display of such Content (4) any unauhorised access to our secure servers including the loss of any personal or financial information (3) any interuption or cessation of transmission to or from our Website (4) any services or agreements you enter in to with any third party company which links to, from or is recommended by Cutting Sounds or is otherwise promoted by Cutting Sounds because Cutting Sounds does not warrant, endorse, guarantee or assume responsibilty for and such products or services either advertised or offered by any third party company on or via the Cutting Sounds website.
Governing Law and Arbitration:
At all times and without exception this Agreement shall be governed by the laws of England.
